ARTICLE I: NAME This non-profit organization known as SAN ANTONIO REGISTRY OF INTERPRETERS FOR THE DEAF, hereafter known as SARID.
ARTICLE II: PURPOSES
¨ SARID is not organized, nor shall it be operated, for pecuniary gain, profits, or dividends to its members, and is organized solely for non-profit purposes. ¨ SARID shall be affiliated as a chapter of Texas Society of Interpreters for the Deaf, Inc., hereafter known as TSID. SARID purposes shall be concurrent with those of TSID, which are: ¨ To promote the development and expansion of quality interpreting services available to persons who are deaf, hard of hearing, and hearing; ¨ To encourage the recruitment and training of professionals in interpreting/transliterating; ¨ To promote the highest standards in the interpreting/transliterating profession; ¨ To offer a forum for professional interpreters/transliterators for exchange of ideas, opinions, and information concerning interpreting; ¨ To provide opportunity for training in order to attain, maintain and upgrade qualifications for interpreters/transliterators; ¨ To support legislative interests and concerns of the organization; ¨ To provide means for dissemination and exchange of information.
ARTICLE III: CHAPTER RESPONSIBILITY TO TSID
¨ As a Local Chapter of TSID, SARID must meet the following responsibilities: ¨ Adopt and follow a constitution in agreement with the TSID Constitution; ¨ Assure that all SARID Certified Members are also members of TSID; ¨ Participate in governing TSID by sending a voting representative to at least three (3) meetings of TSID Board each year; ¨ Coordinate local arrangements and/or support services for any professional development activities requested from TSID; ¨ Contribute to the TSID communication network by listing activities and workshops open to the TSID General Membership with the TSID Communications Chair and/or the editor of the InterpreTexan for statewide dissemination; ¨ File a written Chapter report with the TSID secretary at each Annual Conference; ¨ File a written Treasurer's report with the TSID treasurer at the end of each Fiscal Year.
ARTICLE IV: MEMBERSHIP
¨ SARID shall consist of Certified and Chapter, Associate, and Student Members. ¨ SARID's Student membership is for students who are members of an accredited interpreter training program
ARTICLE V: SARID BOARD
¨ The Board shall govern SARID and shall consist of the following officers: President, Vice-President, Secretary, Treasurer, Parliamentarian, and a Chapter Representative to the TSID Board.
ARTICLE VI: MEETINGS
¨ Meetings of SARID shall be held a minimum of three (3) times a year. The Board will determine dates of these meetings and the Membership will be notified fourteen (14) days prior to the meeting. ¨ Board meetings shall be held a minimum of two (2) times a year. Dates of these meetings shall be determined by the President with approval of the Board and shall be open to SARID's membership. Board members and SARID's General Membership will be notified fourteen (14) days prior to the Board meetings. ¨ The Board may hold an Executive Session of its officers with the approval of a majority of the Board members.
ARTICLE VII: COMMITTEES
¨ SARID shall have a Nominating Committee and an Audit Committee. The Executive Board and/or the President shall determine the need for and the size of Special Committees. The President shall appoint the Chairperson of each committee, with the exception of the Nominating Committee. The Board and/or the President shall determine the need for and the size of Special Committees.
ARTICLE VIII: DISSOLUTION
¨ In the event of dissolution of SARID all remaining assets, real and personal property of whatever nature, shall be transferred to TSID to be kept for a period of eighteen (18) months in escrow to allow for possible reorganization. If SARID is reorganized under these Constitution/ByLaws, the assets less ten (10) percent, will be returned to the SARID Treasurer. If SARID is not reorganized under these Constitution/Bylaws within eighteen (18) months, all assets will become the permanent property of TSID.
ARTICLE IX: AMENDMENT
¨ This Constitution may be amended or a new Constitution adopted by vote of two-thirds (2/3) of the voting members present at any stated or called meeting of SARID, provided that two weeks prior notice has been given to the membership. Mail ballot or email ballot votes may also be utilized as defined in ARTICLE VII of SARID's Bylaws.
This Constitution is effective as of November 13, 2000. Updated May 4, 2006.
