ARTICLE I: MEETINGS
A. Order of Business ¨ Call to Order ¨ Determination of Quorum ¨ Reading of Minutes ¨ Reports ¨ Old Business ¨ New Business ¨ Adjournment ¨ Program B. The current edition of Robert's Rules of Order, newly revised, shall be the parliamentary authority in all cases where there is no conflict with the Constitution and/or Bylaws. C. At all stated or called meetings a quorum shall consist of one-fourth (1/4) of the voting members. D. At all Board meetings a quorum shall consist of one-half (½) of the Board Members. E. The membership shall be notified, fourteen (14)days in advance of all regular meetings and three (3) days prior to any called meeting. F. There shall be a minimum of two (2) Board meetings each term of office. The Board Members shall be notified fourteen (14) days prior to such a meeting. G. Meetings of the Board may be called by the President or any two (2) Board Members; Board Members will be notified three (3) days prior to such meetings. H. Only voting members of SARID may make motions at stated or called meetings of the membership. During Board meetings, only Board Members may make motions. With the approval of the President or any two members of the Board, non-voting members may address the Board and/or the membership at any meeting. I. The election of officers shall be held during SARID's meeting one month prior to the end of the fiscal year. The installation of officers shall be held at the next stated meeting following the election. Newly elected officers will assume their role at the beginning of the next membership year.
ARTICLE II: MEMBERSHIP
A. The membership year shall extend from July 1 to June 30. A statement shall be sent to any member who is 30 days delinquent in payment of dues. Should there be any member in default by August 30th his/her membership shall terminate. Payment of dues shall reinstate membership. A member in good standing is defined as follows: 1. An individual whose SARID dues are current. 2. An individual who attends at least 50% of the stated and/or called meetings per membership year. B. Qualifications of Membership: 1. Certified Member: Those persons, age 18 or over, possessing certification in the interpreting profession, who pays Certified Membership dues in both SARID and TSID shall have voting privileges in SARID and TSID; may be elected to office in both SARID and/or TSID; may serve as SARID's Chapter Representative to the TSID Board, if also a member of RID. Each Certified Member shall have 2 votes. 2. Associate Member: Associate Member: Those persons, age 18 or over, possessing skill or desiring to become skilled in interpreting; who pays current Associate membership dues in both SARID and TSID; may be elected to office in SARID, may serve on committees in SARID and TSID: may serve as SARID's Chapter Representative to TSID's Board if also a member of RID. Each Associate Member shall have 1 vote. 3. Chapter Member: An individual, age 18 or over, who pays current ____ Chapter Membership dues; is interested in and supportive of SARID; is interested in deaf people, their language and welfare, but who do not wish to maintain Certified or Associate Membership; shall not hold office or vote. 4. Student Member: Must be an individual who is enrolled in an accredited Interpreter Training Program in a University or College program; whose study focus will lead to work as an interpreter, and is currently non-certified. Student members shall not vote and shall not hold office. C. Dues ¨ Annual dues for Certified Members shall be $15.00. ¨ Annual dues for Associate Members shall be $15.00. ¨ Annual dues for Chapter Members shall be $12.00. ¨ Annual dues for Student Members shall be $8.00. ¨ Dues paid after March 31 shall be applied to the next membership year, beginning July 1. ¨ Dues are payable annually. To be eligible for office and/or to vote at SARID's meeting in May, dues must be paid.
ARTICLE III: SARID BOARD
The SARID Board shall transact the general business of SARID, subject to the approval of the membership. It shall act as custodian of funds, properties, and records of SARID; shall do anything proper to carry out the purposes of SARID, subject to the limitation of these Bylaws.
ARTICLE IV: OFFICERS
A. Authority and Responsibilities: 1. President: The President is the chief executive officer of SARID and of the SARID Board, and shall preside at all meetings of SARID and the Board; shall oversee all activities of the organization, shall serve as spokesperson for the organization, shall be an ex-officio member of all committees except the Nominating Committee; shall, with the approval of the Board, appoint Standing Committees and Special Committees whenever necessary to carry out the functions of SARID; shall be the official agent of SARID and shall be responsible for maintaining cooperation and affiliation with TSID; shall perform other duties as designated by the Board and/or membership. The President may also serve as the SARID Chapter Representative to the TSID Board and to do so must be a member of RID(for these duties, see ARTICLE IV--6 of these Bylaws;) shall be responsible for sending the Chapter reports to the TSID Board prior to each TSID Board meeting; shall submit a report to the secretary at each Board meeting. 2. Vice-President: The Vice-President shall assist the President with the duties of that office and shall perform other duties as designated by the President; shall preside at all meetings in the absence of the President; shall act as chairman of the Fundraising Committee and Workshop Committees; shall be responsible for completing and submitting all CEU paperwork for any SARID sponsored workshops; shall automatically become the President in the event that the office of President is vacated; shall submit a report to the secretary at each Board meeting. 3. Secretary: The Secretary shall keep accurate record of the proceedings of all meetings of SARID, including the Board; shall conduct all correspondence of SARID shall issue notices of meetings as directed by the President; the Secretary shall record and distribute minutes of all SARID meetings. 4. Treasurer: The Treasurer oversees the financial matters of SARID. The Treasurer shall receive, deposit, and disburse all monies; the President and/or Board shall approve all bills before payment; all drafts shall be signed by the Treasurer and co-signed by the President and/or a designated Board member. The Treasurer shall keep accurate records of all monetary transactions; shall prepare and submit financial reports, shall maintain records of all financial transactions following standard business and reporting practices, shall monitor the financial aspects of all contracts. The Treasurer shall present his/her records to the Audit Committee at the end of the Fiscal Year and/or at the request of the President and/or Board, and/or upon termination of office; shall submit a report to the secretary at each meeting; shall file a Financial Report with the TSID Treasurer at the end of each Fiscal Year. The Treasurer shall keep an up-to-date roster of the membership and standing of each member; shall give copies of same to SARID's President and TSID's Vice- President. 5. Parliamentarian: The Parliamentarian shall rule on questions involving parliamentary procedure; shall chair the Nominating committee; shall be responsible for all voting by ballot, show of hands, and other methods of voting. The Parliamentarian shall chair any Constitution/Bylaws Revisions Committee; shall submit a report to the secretary at each board meeting. In the event that SARID does not have an appointed Historian, the parliamentarian will serve in this capacity. 6. Chapter Representative: S5. Shall serve as an alternate when the President cannot attend. The SARID Chapter Representative shall present the issues and concerns of SARID to the TSID Board and help govern TSID; shall report to SARID any issues being discussed at the State level; shall report to SARID any information disseminated at the TSID Board meeting; shall inform TSID Board of SARID's needs. The SARID Chapter Representative shall attend all meetings of the TSID Board. SARID's Chapter Representative shall vote on behalf of the Local Chapter when chapter is in compliance and provided that the Chapter Representative is a Certified or Associate member of TSID and a member of RID, and shall assist in maintaining cooperation and affiliation between the Local Chapter and TSID. Any travel expenses incurred attending TSID Board Meetings shall be reimbursed as approved by SARID's Board as funds are available; shall submit a report to the secretary and membership following each TSID Board meeting; and shall submit a written report to the TSID secretary for each TSID board meeting and shall upload said report to the TSID website's board private area in lieu of report by President if needed. B. Vacancies in Office: 1. The Board shall fill a vacancy in office due to death, resignation, or other cause, other than the President. 2. Should the office of President become vacant, the Vice President shall assume the office of president and shall serve the remainder of the unexpired term as President. Should the office again become vacant, SARID's Board shall fill it. 3. Resignations shall be submitted in writing to the Board. 4. Should a member of SARID's Board fail to perform the duties as outlined in these Bylaws, such member may be replaced by action of SARID's Board. 5. Officers are required to attend seventy-five (75) percent of all Membership and Board Meetings. Failure to comply with this shall be basis for replacement by the Executive Board. 6. The outgoing officers shall transfer all data and materials of office within thirty (30) days following termination of office. 7. The outgoing officer shall train the incoming officer in the period between election and installation of new officers. C. Eligibility for Office: A person may be eligible for nomination to office provided he/she has been a Certified or Associate Member in good standing of SARID or any other TSID/RID Chapter the preceding membership year. D. Elections to Office: 1. Election of Officers shall take place at SARID's last meeting prior to June 30th. 2. Voting privileges for elections shall be restricted to Certified and Associate members in good standing. 3. Officers shall be elected for a term of one (1) year, term of office to be July 1 through June 30 and shall begin and end with the installation of officers. 4. The Nominating Committee shall present a slate for elective officer positions. Other nominations may be made from the floor, provided the person nominated has been asked, is eligible to serve, and is willing to serve. 5. Voting shall be done by ballot unless there is only one (1) candidate for the office. 6. A simple majority of those present and voting is required for election.
ARTICLE V: RESPONSIBILITIES OF SARID TO TSID Local Chapters shall be responsible to TSID for the following items in order to remain in compliance: 1. Keep an updated Chapter Constitution and Bylaws on file with TSID; 2. Assure that all Local Chapter Board Members are also members of TSID; 3. Participate in governing TSID by sending a voting Representative to at least three (3) meetings of the TSID Board each TSID fiscal year. 4. Assure that voting Representatives to the TSID Board are also RID members. 5. File an annual chapter written report and financial statement with TSID.
ARTICLE VI: COMMITTEES A. Nominating Committee: There shall be a Nominating Committee of no less than three (3) members chaired by the Parliamentarian. The members of this committee shall be nominated by and from the membership; simple majority vote shall be required for election to this committee. The Nominating Committee shall be responsible for presenting a slate of eligible persons to the membership for any election. B. Audit Committee: The Audit Committee shall audit the Treasurer's records at the end of the fiscal years; and/or upon request of SARID's President, and report to the membership their findings at the next stated or called meeting. The Audit Committee Chairperson shall be appointed by the Board. The Audit Committee shall have three (3) members. ARTICLE VII: AMENDMENTS ¨ These Bylaws may be amended or new By-Laws adopted by a vote of two-thirds (2/3) of the members present and voting at any regular or special meeting of SARID; provided two (2) weeks prior notice is given to the membership. ¨ In the event SARID is unable to convene at the called meeting, a mailing or electronic mail of the proposed amendment shall be sent to each voting member who shall vote, sign/digitally sign, and return the ballot to the Board. The ballots shall be tabulated by the Board or a Special Committee. The membership shall be notified of the final result of the voting. All ballots shall be maintained on file for one (1) year and shall be open to inspection upon request by any member in good standing. Ballot response must be received within a thirty (30) day period, with seventy-five (75) percent of the voting members responding, and two-thirds (2/3) vote in favor will adopt the proposed amendment or two-thirds (2/3) vote against will defeat the proposed amendment. ¨ Proposals of amendments to the Bylaws for mail ballot vote must be in writing and signed by ten (10) or more members in good standing, presented to the Board for study, or proposed by the Board, prior to dissemination.
